These Terms & Conditions ("Terms") govern your use of the HRSetu platform ("Service"), operated by HRSetu ("we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Service Description
HRSetu is a multi-tenant Software-as-a-Service (SaaS) platform that provides payroll management and statutory compliance services for Indian businesses. The Service includes, but is not limited to:
- CTC (Cost to Company) calculation and salary structuring compliant with the New Wage Code 2019
- Monthly payroll processing with attendance and LOP (Loss of Pay) integration
- Statutory compliance management for EPF, ESIC, Bonus, Gratuity, and Professional Tax
- Employee lifecycle management (onboarding, increments, termination, full & final settlement)
- Multi-company management with data isolation
- Reporting and data export capabilities
2. Account Registration
To use HRSetu, a Company Administrator ("Admin") must register a company account by providing accurate and complete company information. By registering, you represent that:
- You are authorised to act on behalf of the company being registered.
- All information provided during registration is accurate, current, and complete.
- You will maintain the security of your account credentials and are responsible for all activities under your account.
- You will promptly notify us of any unauthorised access to your account.
We reserve the right to suspend or terminate accounts that provide false or misleading information.
3. Data Ownership
You retain full ownership of all data you enter into the Service, including but not limited to company information, employee records, salary data, attendance records, and payroll outputs ("Your Data").
- We do not claim ownership of Your Data.
- You grant us a limited licence to process Your Data solely for the purpose of providing the Service.
- You may export Your Data at any time using the export features provided within the platform.
- Upon account termination, Your Data will be handled in accordance with our data retention policy.
4. Payment Terms
HRSetu operates on a subscription and/or usage-based pricing model. The following terms apply:
- Subscription fees are billed in advance on a monthly or annual basis, as selected during registration.
- All fees are quoted in Indian Rupees (INR) and are exclusive of applicable taxes (GST).
- Payment is due on the date specified in your invoice. Late payments may result in service suspension.
- We reserve the right to modify pricing with at least 30 days' prior written notice.
- Refunds are handled on a case-by-case basis and are not guaranteed.
5. Prohibited Use
You agree not to use the Service for any purpose that is unlawful or prohibited by these Terms. Specifically, you shall not:
- Use the Service to process payroll for fictitious employees or fraudulent purposes.
- Attempt to gain unauthorised access to other accounts, systems, or networks connected to the Service.
- Reverse engineer, decompile, or disassemble any part of the Service.
- Upload malicious code, viruses, or any harmful software.
- Use the Service in a manner that could damage, disable, or impair its functionality.
- Resell, sublicence, or redistribute access to the Service without prior written consent.
- Use the Service to violate any applicable Indian or international law.
6. Data Security
We take the security of Your Data seriously and implement industry-standard measures to protect it:
- All data is stored in encrypted databases using PostgreSQL with encryption at rest.
- Data transmission is secured using TLS/SSL encryption.
- Role-based access control (RBAC) ensures users can only access data they are authorised to view.
- Comprehensive audit logs track all data access and modifications.
- Regular security assessments and vulnerability testing are conducted.
- Passwords are hashed using industry-standard algorithms and are never stored in plain text.
While we implement robust security measures, no system is completely immune to security threats. We cannot guarantee absolute security but will promptly notify affected users in the event of a data breach.
7. Limitation of Liability
To the maximum extent permitted by applicable Indian law:
- The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.
- We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
- Our total liability for any claim arising from these Terms or the Service shall not exceed the total fees paid by you in the twelve (12) months preceding the claim.
- We are not responsible for errors in payroll calculations resulting from incorrect data input by the user.
- While we strive for 100% statutory compliance accuracy, the ultimate responsibility for compliance filings rests with the employer.
8. Termination
Either party may terminate the use of the Service under the following conditions:
- By You: You may cancel your subscription at any time through the platform or by contacting us. Cancellation takes effect at the end of the current billing period.
- By Us: We may suspend or terminate your account if you breach these Terms, fail to make timely payments, or engage in prohibited activities. We will provide reasonable notice before termination except in cases of serious violation.
- Effect of Termination: Upon termination, your access to the Service will cease. You may request export of Your Data within 30 days of termination, after which it may be permanently deleted.
9. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in India.
Before initiating legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of at least 30 days.
10. Changes to These Terms
We reserve the right to update or modify these Terms at any time. When we make changes:
- We will update the "Last Updated" date at the top of this page.
- For material changes, we will notify registered users via email or in-app notification.
- Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
